  • "Client," "you," or "your" refers to any individual or entity that uses our website or engages our services.
  • "Services" refers to all web development, design, consulting, and related services we provide.
  • "Website" refers to anythink.pics and all associated pages and content.
  • "Deliverables" refers to any work products, including websites, designs, code, and documentation, created as part of our Services.
  • "Project Agreement" refers to any signed contract, proposal, or statement of work detailing specific project terms.

2. Use of Website

2.1 Acceptable Use

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable local, national, or international laws or regulations.
  • Attempt to gain unauthorized access to any portion of the website, other accounts, or computer systems.
  • Transmit any viruses, malware, or other harmful code.
  • Collect or harvest any information from the website without our written consent.
  • Use automated tools, bots, or scrapers to access or interact with the website.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

2.2 Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Pixonix or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

3. Services

3.1 Scope of Services

Pixonix provides professional web development services, including but not limited to:

  • Custom website design and development
  • User experience (UX) and user interface (UI) design
  • Responsive web design for mobile and desktop devices
  • E-commerce website development
  • Content management system (CMS) integration
  • Search engine optimization (SEO) services
  • Website maintenance and support
  • Web hosting consultation and setup

3.2 Project Agreements

Specific project terms, including scope, timeline, deliverables, and pricing, will be outlined in a separate Project Agreement. In case of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail for matters related to that specific project.

3.3 Client Responsibilities

To ensure successful project delivery, you agree to:

  • Provide accurate and complete information as requested.
  • Supply all necessary content, images, and materials in a timely manner.
  • Respond to communications and requests for feedback within reasonable timeframes.
  • Review and approve work at designated milestones.
  • Ensure you have all necessary rights to any content you provide.
  • Make payments according to the agreed schedule.

4. Pricing and Payment

4.1 Quotations

All quotations provided are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the information provided at the time and may be subject to change if project requirements change significantly.

4.2 Payment Terms

Unless otherwise specified in a Project Agreement:

  • A deposit of 50% of the total project cost is required before work begins.
  • The remaining balance is due upon project completion, prior to final delivery.
  • For larger projects, milestone-based payment schedules may be arranged.
  • Invoices are payable within 14 days of issue.

4.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month. We reserve the right to suspend work on any project with outstanding invoices until payment is received. Persistent non-payment may result in termination of the project and retention of all deposits.

4.4 Additional Costs

Any work outside the agreed scope will be quoted separately. Additional costs may include, but are not limited to:

  • Changes to approved designs or functionality
  • Additional revision rounds beyond those specified
  • Rush delivery or expedited timelines
  • Third-party software licenses, hosting, or domain costs
  • Stock photography or custom illustration

5. Intellectual Property Rights

5.1 Ownership of Deliverables

Upon full payment of all outstanding invoices:

  • You will own the rights to the final custom website design created specifically for your project.
  • You will own the content you provided for the project.
  • You will receive a license to use any third-party components, frameworks, or libraries included in the Deliverables, subject to their respective licenses.

5.2 Retained Rights

Pixonix retains the right to:

  • Use general coding techniques, processes, and methodologies developed during the project.
  • Display the completed work in our portfolio and marketing materials.
  • Reuse any pre-existing code, frameworks, or tools that were not specifically created for your project.

5.3 Client-Provided Materials

You represent and warrant that all materials you provide are either owned by you or that you have the necessary rights and permissions to use them. You agree to indemnify us against any claims arising from the use of materials you provide.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 30 days following project delivery, we will correct any defects or errors in the Deliverables at no additional charge, provided such defects are reported in writing.

6.2 Disclaimer of Warranties

Except as expressly stated herein, our website and Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

  • Our website will be uninterrupted, secure, or error-free.
  • Any specific business results will be achieved from your website.
  • Search engine rankings or traffic levels will be achieved or maintained.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claims arising from these Terms or our Services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • We are not liable for any delays or failures caused by factors beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, or third-party service failures.

8. Termination

8.1 Termination by Client

You may terminate a project at any time by providing written notice. Upon termination:

  • You will be responsible for payment for all work completed up to the date of termination.
  • Any deposits paid are non-refundable.
  • We will deliver any completed work upon receipt of final payment.

8.2 Termination by Pixonix

We may terminate a project or suspend Services if:

  • Payment is not received within 30 days of the due date.
  • You breach any material term of these Terms or the Project Agreement.
  • You fail to provide required materials or feedback for more than 60 days.
  • Continuing the project would require us to act unlawfully or unethically.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our business relationship. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

10. Dispute Resolution

10.1 Negotiation

In the event of any dispute arising from these Terms, both parties agree to first attempt resolution through good-faith negotiation.

10.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the Czech Republic. Any disputes that cannot be resolved through negotiation shall be submitted to the exclusive jurisdiction of the courts located in Prague, Czech Republic.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or Services after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

12. Miscellaneous

12.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.2 Entire Agreement

These Terms, together with any Project Agreement, constitute the entire agreement between you and Pixonix regarding the subject matter herein and supersede all prior agreements and understandings.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor in interest without restriction.
